HOLD HARMLESS AGREEMENT

Pump Wizard Pro – Pump Service & Rental LLC

Effective Date: 09/01/2025

This Hold Harmless Agreement (“Agreement”) is made by and between:

Pump Service & Rental LLC (“PSR”), doing business as Pump Wizard Pro, with principal offices at 228 Industrial Pkwy STE 100 Lafayette, LA 70508, and

Subscriber (“Customer”), identified during the onboarding and subscription process.

  1. Purpose

Pump Wizard Pro is an automated troubleshooting assistant delivered via SMS and related communication channels. It provides general guidance, diagnostic suggestions, and maintenance reminders for industrial pump equipment.

The Service is intended to supplement, not replace, qualified technical personnel, OEM documentation, and workplace safety procedures.

  1. Safety Disclaimer & Acknowledgment

Customer acknowledges and agrees:

  • Pump Wizard Pro is not a substitute for OEM service manuals, certified service technicians, or professional judgment.
  • All troubleshooting steps and recommendations are for informational purposes only and must be verified against OEM documentation and the Customer’s own safety procedures before being acted upon.
  • All work must follow proper Lockout/Tagout (LOTO), depressurization, electrical isolation, and guarding requirements prior to inspection, diagnosis, or repair.
  • Customer remains solely responsible for:
    • Safe operation and maintenance of equipment.
    • Compliance with OEM specifications, warranty requirements, and regulatory standards.
    • Verification of all actions performed on pumps, systems, and related equipment.

By using Pump Wizard Pro, Customer expressly agrees not to rely on the Service as a definitive instruction manual or a replacement for trained technical personnel. 

  1. Hold Harmless & Indemnification

To the fullest extent permitted by law, Customer agrees to:

  • Hold harmless, indemnify, and defend Pump Service & Rental LLC, its officers, employees, contractors, and affiliates against any and all claims, damages, liabilities, costs, or expenses (including legal fees) arising from use or reliance on Pump Wizard Pro.
  • Accept full responsibility for the use of guidance provided and any resulting equipment damage, downtime, injury, or loss.
  1. Limitation of Liability
  • Pump Service & Rental LLC provides Pump Wizard Pro “as is” without warranties of any kind.
  • PSR is not liable for direct, indirect, incidental, or consequential damages resulting from use of the Service, including but not limited to: equipment failure, lost production, or personal injury.
  • Maximum liability of PSR under this Agreement shall not exceed the subscription fees paid by the Customer in the preceding 12 months.
  1. Customer Responsibilities

Customer agrees to:

  • Ensure only authorized personnel use the Service.
  • Provide accurate and complete information when interacting with the Service.
  • Maintain compliance with all workplace safety regulations and OEM manuals.
  • Notify PSR of any misuse, errors, or concerns with the Service.
  1. Governing Law

This Agreement is governed by the laws of the State of Louisiana, without regard to conflicts of law principles.

  1. Acknowledgment

By subscribing to Pump Wizard Pro, Customer acknowledges that they have read, understood, and agreed to the terms of this Hold Harmless Agreement.
